Founding Member Programme Terms

These Founding Member Programme Terms ("Programme Terms") govern your participation in the RisqBase Founding Members Programme ("Programme"). These Programme Terms supplement RisqBase’s Terms of Service and Privacy Policy, which will be published when our product launches. In the event of a conflict between these Programme Terms and the Terms of Service, these Programme Terms shall prevail with respect to Programme-specific matters.

1. Overview

The Founding Members Programme offers qualifying organisations exclusive early access to RALIA Ops along with a permanent discount on RALIA subscriptions. The Programme is designed to reward early adopters who help shape the future of compliance intelligence.

By submitting a Founding Member application and being accepted into the Programme, you agree to be bound by these Programme Terms.

2. Eligibility

To be eligible for the Founding Members Programme, you must:

• Represent a legally registered organisation (sole traders, partnerships, and companies are all eligible)
• Submit a complete application using a valid work email address
• Hold a role with authority to bind your organisation (e.g. DPO, CISO, Compliance Officer, Managing Director, or equivalent)
• Not be an existing paid subscriber to any RALIA plan at the time of application

RisqBase reserves the right to verify eligibility and to accept or reject applications at its sole discretion.

3. Programme Capacity

The Programme is limited to the first 100 qualifying organisations. Applications are processed on a first-come, first-served basis. Once all 100 spots have been allocated, the Programme will be closed to new applicants.

RisqBase may, at its discretion, increase the number of available spots but is under no obligation to do so.

4. Free Access Period

4.1 Duration

Accepted Founding Members receive 9 months of free accessto RALIA Ops. The free access period begins on the date your account is provisioned by RisqBase (the "Provisioning Date") and expires exactly 9 calendar months thereafter.

4.2 Scope

During the free access period, you will have access to all six RALIA Ops modules:

• Data Subject Request (DSR) Management
• Incident Response
• Vendor Management
• Risk Intelligence
• Site Audit
• Compliance-Connected Learning (CCL)

4.3 After the Free Access Period

At the end of the 9-month free access period, your RALIA Ops access will revert to the Starter tier unless you subscribe to a paid plan. You will receive advance notice at least 30 days before the free period expires.

No payment information is required to participate in the Programme. No charges will be applied automatically at the end of the free period.

5. Permanent Discount

5.1 Discount Rate

Founding Members receive a permanent 15% discounton all paid RALIA subscription plans (Pro Solo/Duo, Pro Team, Business Standard, Business Growth, and Enterprise). This discount applies to the subscription price for the lifetime of the organisation's account.

5.2 Stacking

The 15% Founding Member discount is independent of the annual billing discount (approximately 17%). Both discounts may be applied simultaneously.

5.3 Upgrade During Free Period

If you subscribe to a paid RALIA plan while your 9-month free Ops period is still active, the standalone cost of RALIA Ops will be deducted from your subscription price for the remainder of the free period.

6. Revocation

RisqBase reserves the right to revoke Founding Member status and associated benefits if:

• Fraud or misrepresentation: You provided false or misleading information in your application
• Misuse: You use the Platform in violation of our Terms of Service (published when our product launches), including but not limited to sharing credentials, reverse engineering, or using the Platform for unlawful purposes
• Inactivity: Your account remains inactive (no logins or meaningful activity) for 6 or more consecutive months during the free access period

In the case of inactivity, RisqBase will notify you at least 14 days before revocation to give you an opportunity to re-engage with the Platform.

Revocation of Founding Member status does not affect your right to continue using RALIA under the standard Terms of Service and applicable subscription tier.

7. Modifications to Programme Benefits

RisqBase reserves the right to modify the benefits of the Founding Members Programme. Any material changes to Programme benefits will be communicated with at least 90 days' prior written notice to all active Founding Members via the email address associated with their account.

Changes will not apply retroactively to benefits already accrued (e.g. remaining free access time or discounts already applied to active subscriptions).

8. General Provisions

8.1 Non-Transferable

Founding Member status and associated benefits are non-transferable. They are tied to the organisation that was accepted into the Programme and cannot be assigned, sold, or transferred to another entity.

8.2 Governing Law

These Programme Terms are governed by the laws of Croatia, consistent with the Terms of Service.

8.3 Entire Agreement

These Programme Terms, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and RisqBase regarding the Founding Members Programme.
